Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Pantri mobile app, website, and related services provided by InsideOut Solutions, LLC. In these Terms, "Pantri," "we," "us," and "our" refer to InsideOut Solutions, LLC as the operator of the Pantri product and https://getpantri.com. By creating an account, using the app, or accessing https://getpantri.com, you agree to these Terms.

If you do not agree to these Terms, do not use Pantri. If you use Pantri on behalf of a household, company, or other entity, you represent that you have authority to bind that entity or household to these Terms.

You must be able to form a legally binding contract to use Pantri. If you are under the age of majority where you live, you may use Pantri only with involvement and consent of a parent or legal guardian, and Pantri is not intended for children under 13.

Pantri provides pantry tracking, shopping lists, meal planning, scan-based item capture, and AI-assisted recipe or kitchen suggestions. Features may change over time, and some features may be experimental, limited by region or device, or require a subscription or credits.

Pantri is a convenience and planning tool. It is not medical, nutritional, allergen, or food-safety advice, and it is not a substitute for reading labels, checking ingredient safety, or using your own judgment.

Pantri subscriptions are billed through Apple App Store or Google Play based on Pantri's current public pricing and billing flow. Billing, renewal, cancellation, refund eligibility, taxes, and payment disputes may also be governed by the relevant platform's terms and policies.

Pantri may use credits or other usage units for scan, AI, or premium actions. The app may show the number of credits required before a selected action is submitted.

You may submit pantry entries, shopping lists, recipes, prompts, photos, scans, feedback, support messages, and other content to Pantri. You retain ownership of your content, subject to the license below and any rights held by others.

You grant Pantri a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, transmit, and create technical or functional derivatives of your content solely as needed to operate, secure, support, and improve the service and to provide features you request.

Pantri may use built-in scan-processing tools, Google ML Kit, machine learning, and Google Gemini to extract receipt or pantry data and suggest recipes, meal plans, substitutions, or other outputs. Those systems can be wrong, incomplete, duplicative, unsafe for a particular diet, or inconsistent across repeated requests.

You are responsible for reviewing generated outputs, verifying ingredients and quantities, checking allergen labels and food safety, and deciding whether a recommendation is appropriate for you or your household.

You may not misuse Pantri, interfere with the service, or use Pantri in a way that harms users, the public, Pantri, service providers, or third parties.

Pantri and its licensors own the service, software, website, design, branding, logos, text, graphics, and other materials made available through the service, excluding user content and third-party materials. Subject to your compliance with these Terms, Pantri grants you a limited, non-exclusive, non-transferable, revocable license to use the service for personal or household purposes.

No rights are granted except as expressly stated in these Terms.

Pantri may integrate with app stores, Google Firebase services for authentication and data infrastructure, analytics tools, Google Gemini for AI processing, and links to third-party websites. Those third parties may have their own terms and privacy policies, and Pantri is not responsible for third-party services it does not control.

Our Privacy Policy explains how we collect, use, and disclose personal information. By using Pantri, you acknowledge that your information will be handled as described in that policy.

To the maximum extent permitted by law, Pantri is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and error-free operation.

Some jurisdictions do not allow certain disclaimers, so some of the above language may not apply to you.

To the maximum extent permitted by law, Pantri and its affiliates, directors, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, service interruption, or substitute services, arising out of or related to your use of Pantri.

To the maximum extent permitted by law, Pantri's aggregate liability for all claims arising out of or related to the service or these Terms will not exceed the greater of the amount you paid to Pantri for the service in the 12 months before the event giving rise to the claim or USD $100.

To the extent permitted by law, you agree to indemnify and hold harmless Pantri and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising from your content, your misuse of the service, or your violation of these Terms or applicable law.

This indemnity obligation applies only to the extent permitted by applicable law.

You may stop using Pantri at any time and may request account deletion where supported. We may suspend, limit, or terminate access to the service if we reasonably believe you violated these Terms, created legal or security risk, caused harm to other users, or if we discontinue all or part of the service.

Sections that by their nature should survive termination, including intellectual-property, disclaimers, liability limits, dispute terms, and provisions related to amounts owed, will survive.

We may update the service and these Terms from time to time. If we make material changes to these Terms, we will update the effective date and provide additional notice where required by law. Continued use of Pantri after updated Terms become effective means you accept the updated Terms to the extent permitted by law.

These Terms and any dispute arising out of or relating to these Terms or the service will be governed by the laws of the State of New York, without regard to conflict-of-law rules.

Except where applicable law provides otherwise, any dispute arising out of or relating to these Terms or the service will be resolved exclusively in the state or federal courts located in New York County, New York, and you and Pantri consent to the personal jurisdiction of those courts.

If you download Pantri from the Apple App Store, Apple is not a party to these Terms and is not responsible for providing maintenance or support for the app except as required by applicable law. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you.
